Agreement

These Terms of Service ("Terms") govern your use of Nyx Agency's website design and hosting services, operated by Hello Network LLC ("Company," "we," "us," or "our"), a Wyoming limited liability company.

By engaging our services or making a payment, you agree to be bound by these Terms. If you do not agree, do not use our services.

Services

Nyx Agency provides the following on a monthly subscription basis:

• Design and development of a one-page professional website
• Website hosting and maintenance
• Domain name registration or connection
• Local SEO configuration (schema markup, meta tags, Google Maps)
• Contact form with auto-reply
• Click-to-call button
• Google Reviews widget
• Up to 2 content revisions per calendar month
• Priority email and phone support

We reserve the right to modify the scope of included services with 30 days' written notice.

Payment

The subscription fee is $149 per month, billed monthly in advance. Payment is due on the same date each month from the date your subscription begins.

• All fees are in US dollars and exclusive of applicable taxes.
• 14-day money-back guarantee: New subscribers are eligible for a full refund if they cancel within 14 days of their first payment. After this period, no partial-month refunds are issued.
• If payment fails, we will notify you and allow a 7-day grace period to update your payment method.
• Accounts more than 14 days past due may be suspended until payment is received.

Cancellation

You may cancel your subscription at any time, with no cancellation fee and no advance notice required.

• To cancel, send an email to contact@nyx-agency.com.
• If you cancel within the first 14 days of your initial subscription, you are entitled to a full refund of your first payment.
• After the 14-day period, your service continues until the end of the current billing period. No partial-month refunds are issued.
• Upon cancellation, your website will be taken offline at the end of the paid period.
• You may request a copy of your website content within 30 days of cancellation.

Content and intellectual property

Your content: You retain ownership of all content you provide to us (text, logos, photos, business information). You grant us a license to use this content solely to provide the services.

Our work product: The website design, code, and creative assets we produce remain the property of Hello Network LLC for the duration of the subscription. Upon cancellation, you may request the HTML/CSS files of your site's content, but not the underlying code or systems.

Your responsibilities: You represent that any content you provide does not infringe third-party rights, is not illegal, and does not violate any applicable laws.

Revisions

Each subscription includes up to 2 content revision requests per calendar month. A revision is defined as a reasonable update to existing content (text, photos, business hours, services list).

• Revisions are completed within 24–48 business hours.
• Unused revisions do not roll over to the following month.
• Significant redesigns or structural changes are not included in standard revisions and may be quoted separately.

Uptime and availability

We aim to maintain 99.9% website uptime. However, we do not guarantee uninterrupted service. Scheduled maintenance, third-party outages (such as hosting infrastructure), or events outside our control may cause temporary unavailability. We will make reasonable efforts to notify you in advance of planned downtime.

Prohibited use

You may not use our services to create websites that:

• Promote illegal activities or products
• Contain defamatory, harassing, or discriminatory content
• Infringe on intellectual property rights of third parties
• Distribute spam or malicious software
• Violate any applicable federal, state, or local laws

We reserve the right to terminate services immediately and without refund if these conditions are violated.

Limitation of liability

To the maximum extent permitted by law, Hello Network LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from your use of or inability to use our services.

Our total liability to you for any claims arising under these Terms shall not exceed the total amount paid by you to us in the 3 months preceding the claim.

Disclaimer of warranties

Our services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our services will generate specific business results, search engine rankings, or lead volume.

Governing law

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved exclusively in the state or federal courts located in Sheridan County, Wyoming.

Changes to these Terms

We may update these Terms from time to time. We will provide at least 14 days' notice of material changes via email. Your continued use of our services after the effective date constitutes acceptance of the revised Terms.
